NOTICE OF THE THIRD ANNUAL GENERAL MEETING OF NIGERIA INTERNET REGISTRATION ASSOCIATION

The Executive Board of Nigeria Internet Registration Association has decided that the 3^rd Annual General Meeting of the Association previously scheduled for Thursday, September 3, 2009 which was postponed as a result of the demise of the pioneer President, Engr. Ndukwe Kalu, should now hold Thursday, August 26, 2010.

Elections into the Executive Board of NIRA which had been due since 2009 will hold at this scheduled AGM.  Please, find below, a list of positions on the Executive Board and the incumbents:

By the provisions of the Constitution,­

·         Two-third members of the current Executive Board are expected to resign, and their positions declared vacant.  This would include, at least two officers of the Board, and three members of the Board  (3.2.1c)

·         Nominations of candidates to any of the positions is open for an eight-week period (9.1)

·         Nominations will close 21 days prior to the AGM (9.1)

·         Nominations for elected positions will not be permitted from the floor of the AGM unless there is a shortfall of nominations for a position (9.2)

·         Only financial members may nominate candidates or be nominated as candidates for an elected position (9.1)

·         No member may propose their own nomination (9.1)

·         Members who are admitted into membership later than 21 days before the date of the AGM shall not be eligible to vote (3.1.1f)

·         A seven-day period is stipulated for the processing of membership application (4.2b).

In view of the foregoing, it is expected that Stakeholder Associations of NIRA should:

·         Sensitize their members to the developments in NIRA

·         Meet their financial obligations to NIRA

·         Galvanize their members to register as individual members of NIRA within the period given in the Constitution

·         Urge both old and new members to meet their financial obligations to NIRA

·         Plan to/send their nominations to the vacant positions on the Executive Board before August 5, 2010.

All processes should conform to the provisions of the Constitution of NIRA.

Please, log on to: www.nira.org.ng for the Constitution of NIRA.  The Constitution as revised at the 2^nd AGM held on August 20, 2008 is yet to be filed at the Corporate Affairs Commission.  It cannot be put into use until this is done.   Any attempt to do this now would further delay the 3^rd AGM which is overdue.   Membership forms can also be downloaded from the website.  Nominations are to be done online with the nomination form as provided. 

Further information regarding the AGM shall be posted on the website as events unfold.
